Supplemental Terms for GreyNoise Self-Hosted Sensors

These Supplemental Terms apply to your access and use of GreyNoise’s Self-Hosted Sensors (defined below) made available through the GreyNoise Tailored Intelligence feature, and form a part of your Data License Agreement or the GreyNoise End User License Agreement that applies to your use of the Platform, as applicable (the “Agreement”). As used in these Supplemental Terms, “Self-Hosted Sensors” means the GreyNoise sensors deployed by Customer on-premise in its own environments. Capitalized terms used but not defined in these Supplemental Terms have the meanings ascribed to them in the Agreement. In the event of a conflict between these Supplemental Terms and your Agreement, these Supplemental Terms will control.

1. License Grant. GreyNoise hereby grants Customer a revocable, non-exclusive, non-sublicensable, and non-transferable limited license to: (a) download, install, deploy and use Self-Hosted Sensors solely for Customer's internal business purposes; and (b) use the installation guides, troubleshooting guides, FAQs, and other documentation relating to Self-Hosted Sensors provided by GreyNoise to Customer (which materials constitute "Documentation" under the Agreement) solely in connection with Customer's use of Self-Hosted Sensors.  

2. Self-Hosted Sensor Data. The data generated by Self-Hosted Sensors (“Self-Hosted Sensor Data”) consists of internet traffic and activity, which will include without limitation Customer IP addresses associated with the Self-Hosted Sensors (“Sensor IPs”), time stamps, and packet capture data (PCAPs). While Self-Hosted Sensors are deployed directly in Customer’s environment, Self-Hosted Sensor Data will be shared with GreyNoise in order to utilize GreyNoise’s threat intelligence database. Self-Hosted Sensor Data, including Sensor IPs, is not considered Customer Data or Personal Data (as defined in GreyNoise’s EULA and Privacy Policy available at https://www.greynoise.io/privacy, respectively, for the purposes of these Supplemental Terms or the Agreement. Other than with respect to Sensor IPs, Self-Hosted Data constitutes “GreyNoise Data” under the Agreement.

3. Sensor IP License. Sensor IPs, which consist of publicly available information, will constitute Customer Data under the Agreement, provided that by subscribing for and utilizing Self-Hosted Sensors, Customer grants GreyNoise a perpetual, irrevocable, transferrable, sublicensable, worldwide, royalty-free, fully paid up license to use, process, store, reproduce, distribute, modify, create derivative works from, and otherwise exploit any Sensor IPs collected through Customer’s deployment of Self-Hosted Sensors. This license includes the right for GreyNoise to incorporate Sensor IPs into its threat intelligence database (GreyNoise Data) or current or future GreyNoise Products, to enhance the functionality and value of the Self-Hosted Sensors offering and GreyNoise’s Platform.

4. Restrictions. For the avoidance of doubt, the Use Restrictions contained in the Agreement regarding the Platform apply with respect to Self-Hosted Sensors and Self-Hosted Sensor Data.

5. Disclaimer. Customer acknowledges that the Self-Hosted Sensors may include utilization of honeypot “profiles” designed to mimic certain of Customer’s software systems in a limited capacity. GreyNoise does not represent or warrant that such use is in conformity with the terms, conditions, or expectations of the vendors of the underlying Customer software being mimicked. GreyNoise expressly disclaims any affiliation with, endorsement by, or license from the vendors of the software that Self-Hosted Sensors may imitate. Self-Hosted Sensors is provided without any guarantees that the limited mimicry for the purpose of creating honeypots is permissible under the intellectual property rights of the software vendors. As a user of Self-Hosted Sensors, Customer acknowledges and agrees that it is Customer’s responsibility to ensure that the use of Self-Hosted Sensors in connection with Customer’s software systems does not infringe upon the rights of the software vendors or violate any applicable laws or regulations. GreyNoise’s liability for Customer’s use of Self-Hosted Sensors shall not exceed $500.00.  

6. Indemnification by Customer. In addition to any Customer indemnification obligations in the Agreement, Customer agrees to defend, indemnify, and hold harmless GreyNoise, its affiliates,  and service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to Customer’s use of Self-Hosted Sensors for infringement, unauthorized use of software or violation of third-party rights in connection with Self-Hosted Sensors.  

7. Modification. GreyNoise may revise and update these Supplemental Terms from time to time in our sole discretion. We will use commercially reasonable efforts to notify Customers of any material changes to these Supplemental Terms at least ten (10) days prior to such change taking effect, but Customer should periodically review the most recent version. All changes are effective upon the date indicated in the notice.
